1. Nature of Services
Anthony Higgins International Ltd. acts as an independent commercial agent facilitating introductions and supporting ongoing commercial discussions between suppliers and customers in relation to raw material supply.
Our services include participation in negotiations, coordination of communications, and support in developing commercial relationships.
2. Independent Intermediary Status
We act solely as an intermediary and are not a principal, distributor, or reseller. We do not take ownership, possession, or control of any goods at any time.
3. Contractual Position
All contracts for the supply of goods are entered into directly between the supplier and the customer. We are not a party to such contracts unless expressly agreed in writing.
4. No Responsibility for Goods or Performance
We shall have no responsibility or liability for:
- The quality, specification, or fitness for purpose of goods
- Supplier performance or reliability
- Delivery, logistics, or fulfilment
All such matters remain the sole responsibility of the contracting parties.
5. No Advisory or Fiduciary Duty
While we may assist in commercial and technical discussions, based on information we receive from the supplier, we do not however, provide technical, legal, or financial advice. We do not assume any fiduciary duty to either party.
6. Customer Due Diligence
Customers are responsible for conducting their own independent assessment of suppliers, products, pricing, and contractual terms.
7. Limitation of Liability
To the fullest extent permitted by law, our total liability arising out of or in connection with our services shall be limited to the total commission received by us in relation to the relevant transaction.
We shall not be liable for:
- Indirect or consequential loss
- Loss of profit, revenue, or business
- Any loss arising from supplier default or product issues
8. Indemnity
The customer agrees to indemnify and hold us harmless from any claims, liabilities, or costs arising from disputes between the customer and supplier.
9. Commission and Commercial Interest
We receive commission from suppliers in connection with transactions. Our involvement in negotiations does not alter our status as an independent intermediary.
10. Governing Law
These terms are governed by the laws of England and Wales.
12. Acceptance
Engagement with our services constitutes acceptance of these terms.
